Sayward Capital Corp. Announces TSXV Conditional Acceptance for Qualifying Transaction


November 8, 2021 – Calgary, Alberta

Sayward Capital Corp.(TSXV: SAWC.P) (“Sayward“)is pleased to announce that it has received conditional acceptance from the TSX Venture Exchange (the “TSXV“) for the closing of its proposed qualifying transaction (the “Qualifying Transaction“) with Field Safe Solutions Inc. (“Field Safe“).

Further to its news releases dated July 28, 2021, September 21, 2021 and November 2, 2021, Sayward will acquire all of the issued and outstanding securities of Field Safe by way of a three-cornered amalgamation whereby Field Safe will amalgamate with 2372845 Alberta Ltd., a wholly-owned subsidiary of Sayward. In connection with the Qualifying Transaction, Sayward will change its name to “Field Safe Solutions Ltd.” (the “Resulting Issuer“) or such other name as the board of directors, in its sole discretion, deems appropriate or as may be required or permitted by applicable regulatory authorities. It is anticipated that the common shares of the Resulting Issuer will trade under the ticker “FSS”.

The completion of the Qualifying Transaction is subject to a number of conditions including, but not limited to, receipt of all required regulatory approvals, including final TSXV acceptance and satisfaction of other customary closing conditions. Assuming all conditions for closing are satisfied, closing of the Qualifying Transaction is expected to occur on or before December 17, 2021, or such other date as Sayward and Field Safe may determine.
